These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Aileen Inc. (“Aileen,” “Company,” “we,” “our,” or “us”), including our AI-powered conversational companion service that places telephone calls to seniors for friendly conversation (the “Service”).
By enrolling in, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
If a family member, caregiver, or legal representative enrolls a senior in the Service, that individual represents and warrants that they have the authority to do so.
1. Description of the Service
Aileen provides an AI-powered conversational companion designed to engage seniors in friendly, regular telephone conversations on topics of interest.
The Service is intended to offer social engagement and companionship. It is not designed to monitor health, provide medical advice, deliver therapy, or respond to emergencies.
We may modify, update, or discontinue features of the Service at any time.
2. No Medical or Healthcare Services
AILEEN IS NOT A HEALTHCARE PROVIDER.
The Service:
• Does not provide medical advice
• Does not provide mental health counseling or therapy
• Does not monitor medical conditions
• Does not detect emergencies
• Does not replace professional care
Conversations are for companionship and general engagement only.
If a user expresses medical concerns, emotional distress, or an emergency situation, Aileen may encourage contacting appropriate emergency services (e.g., 911) or a healthcare provider, but Aileen does not guarantee detection of such situations.
You agree not to rely on the Service for medical, psychological, legal, or emergency assistance.
3. Eligibility and Consent
The Service is intended for individuals aged 60 or older unless otherwise approved by Aileen.
By using the Service, you represent that:
• You have the legal capacity to agree to these Terms; or
• A legally authorized representative has provided consent on your behalf.
If you enroll another individual, you represent that you have obtained appropriate consent.
4. User Conduct
You agree to use the Service respectfully and lawfully. You may not:
• Use the Service for unlawful purposes
• Attempt to reverse engineer or interfere with the technology
• Use the Service to harass or abuse the system
• Impersonate another person
We reserve the right to suspend or terminate accounts for misuse.
5. AI Nature of the Service
You understand and acknowledge that:
• Conversations are conducted by artificial intelligence, not a human being.
• The AI may occasionally generate incorrect, incomplete, or inappropriate responses.
• The AI does not possess human judgment, empathy, or understanding.
While we strive to create a warm and engaging experience, no specific emotional or psychological outcome is guaranteed.
6. Scheduling and Call Limitations
Aileen will place calls according to the selected plan or schedule. However:
• We do not guarantee call timing precision.
• Technical issues may result in missed or interrupted calls.
• Telephone carrier limitations may affect service quality.
We are not responsible for disruptions caused by third-party telecom providers.
7. Fees and Payment
If the Service is subscription-based:
• Fees are billed according to the selected plan.
• Payments are non-refundable except as required by law.
• Failure to pay may result in suspension or termination.
We may modify pricing upon renewal with notice.
8. Privacy and Recording
Use of the Service is subject to our Privacy Policy.
Calls may be recorded or processed for purposes including:
• Improving conversational quality
• Training and refining AI systems
• Quality assurance and safety monitoring
By using the Service, you consent to the processing of call content as described in the Privacy Policy.
If required by applicable law, you are responsible for informing call participants that conversations may be recorded.
9. Safety and Emergency Disclaimer
AILEEN IS NOT AN EMERGENCY RESPONSE SERVICE.
The Service:
• Does not monitor user safety
• Does not provide crisis intervention
• Does not automatically alert family members or emergency services
In case of emergency, users should call 911 (or applicable local emergency number) immediately.
Aileen shall not be liable for failure to detect, escalate, or respond to emergencies.
10. Intellectual Property
All rights in the Service, including software, voice systems, branding, and related technology, are owned by Aileen Inc.
You are granted a limited, non-transferable, revocable license to use the Service for personal, non-commercial purposes.
You may not copy, distribute, modify, or create derivative works from the Service.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AILEEN DISCLAIMS ALL WARRANTIES, INCLUDING:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• CONTINUOUS OR ERROR-FREE OPERATION
We do not guarantee that the Service will meet specific emotional, social, or companionship expectations.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
AILEEN SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING EMOTIONAL DISTRESS, LOSS OF DATA, OR LOSS OF OPPORTUNITY.
AILEEN’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in such cases, liability shall be limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify and hold harmless Aileen Inc., its officers, directors, employees, and affiliates from claims arising from:
• Your use of the Service
• Violation of these Terms
• Misrepresentation of authority to enroll another individual
14. Termination
We may suspend or terminate the Service:
• For violation of these Terms
• For non-payment
• If required by law
You may cancel the Service according to your subscription terms.
Upon termination, provisions regarding disclaimers, liability, and intellectual property shall survive.
15. Governing Law
These Terms are governed by the laws of the State of Delaware without regard to conflict-of-law principles.
Any disputes shall be resolved in the courts located in [Insert Jurisdiction], unless otherwise required by law.
16. Changes to These Terms
